XEELAA Self-Serve Subscription Agreement
This Agreement is effective as of July 22, 2026.
This XEELAA Self-Serve Subscription Agreement ("Agreement" or "Terms") is entered into by and between Xeelaa AI ("XEELAA," "we," "our," or "us"), a company registered in Nigeria (RC 9685591), and the entity or individual agreeing to these terms ("Customer," "you," or "your").
1. Acceptance of Terms
By clicking to accept these Terms, registering an account, accessing the platform, or making API calls, you confirm that you have read, understood, and agreed to be bound by this Agreement. If you are accepting on behalf of an organization, you represent that you hold the legal authority to bind that organization.
2. Description of Service
XEELAA provides an enterprise AI operating system that includes conversational memory indexing, dual-gateway WhatsApp endpoints, multi-provider LLM routing, the Universal Action Engine, and multimedia generation tools.
3. User Accounts and Registration
You agree to provide accurate, current, and complete registration credentials. You are responsible for maintaining the confidentiality of your account password and API secret keys. Any activity originating from your credentials will be deemed authorized by you.
4. Acceptable Use Policy
You agree not to use the Service to:
- • Violate any applicable national, state, or international laws or regulations.
- • Generate, distribute, or facilitate harmful, fraudulent, or harassing content.
- • Reverse engineer, decompile, or extract model weights or proprietary indexing source code.
- • Interfere with or compromise system integrity through denial-of-service attacks or quota circumvention.
- • Conduct automated scraping of platform assets without explicit written authorization.
5. AI-Generated Content
AI outputs are generated through statistical language modeling and may contain errors or inaccuracies. Customer is responsible for verifying critical facts, legal statements, or financial calculations before relying on AI outputs. Customer retains ownership of submitted prompts and generated media assets.
6. Third-Party Integrations
The Platform integrates with external SaaS applications (such as Google Workspace, Microsoft 365, Slack, and Shopify). Your use of third-party platforms remains subject to their independent terms and privacy guidelines. XEELAA is not responsible for outages or rate adjustments imposed by external vendors.
7. WhatsApp Dual Gateway Terms
XEELAA offers dual gateway support: self-hosted Baileys WebSocket connections and official Meta Cloud API connectivity. Because Baileys relies on unofficial WhatsApp Web emulation, Meta may restrict numbers engaging in unsolicited broadcast messaging. XEELAA strongly advises Customers to dedicate business-only numbers and disclaims liability for number bans.
8. API Usage & Rate Limits
Platform APIs are metered against your subscription plan credits. Requests exceeding burst thresholds or concurrency quotas will be throttled with HTTP 429 status codes. API secret keys must not be shared publicly or embedded in unauthenticated client-side code.
9. Intellectual Property
Xeelaa AI retains all right, title, and interest in and to the platform architecture, user interfaces, documentation, logos, and vector indexing engines. You receive a revocable, non-exclusive license to use the service in accordance with your active subscription plan.
10. Data Protection
Data processing practices are outlined in our Privacy Policy. Customer confirms that any customer data or training materials uploaded into XEELAA comply with applicable data protection legislation.
11. Service Availability
While we strive for high service uptime, the Service is delivered on an "as is" and "as available" basis. We reserve the right to perform scheduled maintenance with advance notice where feasible.
12. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall Xeelaa AI be liable for indirect, incidental, special, consequential, or punitive damages (including loss of revenue, data, or business goodwill) arising out of or related to this Agreement.
13. Indemnification
Customer agrees to defend, indemnify, and hold harmless Xeelaa AI and its affiliates from and against claims, liabilities, damages, and costs arising out of Customer's breach of these Terms or misuse of the platform.
14. Termination
Either party may terminate this Agreement at any time via account settings. We reserve the right to suspend or terminate accounts immediately upon material breach of these Terms, non-payment, or upon directive from law enforcement.
15. Governing Law & Jurisdiction
This Agreement is governed by the laws of the Federal Republic of Nigeria. Any disputes arising out of or relating to this Agreement shall be submitted to the exclusive jurisdiction of the competent courts in Abuja, Nigeria.
