Terms and Conditions: The XEELAA Challenge 2026

These Terms and Conditions ("the Terms") govern participation in the XEELAA Challenge ("the Challenge"), an initiative of XEELAA LIMITED ("XEELAA", "we", "us", or "our"). By participating in the Challenge, you ("the Participant") agree to be bound by these Terms in full. If you do not agree to these Terms, you should not participate in the Challenge.

01 Eligibility

1.1 The Challenge is open to XEELAA account holders who receive an official invitation from XEELAA or such other category of participants as XEELAA designates.

1.2 To participate, a Participant must maintain an active custom domain registered to their startup (for example, yourstartup.com) throughout the Challenge Period.

1.3 A Participant must maintain an active paid XEELAA Basic subscription plan for the entirety of the evaluation window.

1.4 Direct employees, directors, and immediate family members of XEELAA administrators are ineligible to win competition prizes.

1.5 XEELAA reserves the right to audit and verify participant eligibility before or after the conclusion of the Challenge Period.

02 Subscription Requirement and Effect of Non-Renewal

2.1 Eligibility to win a prize is contingent upon your XEELAA Basic subscription and custom domain remaining active and paid in full for the duration of the Challenge Period. Lapsed, cancelled, refunded, or downgraded accounts may be disqualified.

2.2 Participation in the Challenge does not entitle any Participant to refunds or extensions outside standard published policies.

2.3 Payment of a subscription fee is solely for access to the XEELAA platform and features, and does not represent an entry fee or stake for prize eligibility.

03 Qualifying Activities and Points

3.1 Participants must complete the following minimum platform activities within the Challenge Period:

• Register an account and create an AI chatbot instance.
• Connect the chatbot to either a verified WhatsApp number or custom website.
• Upload training data regarding the startup's products, policies, or FAQs.
• Achieve at least 15 genuine customer or client interactions through the chatbot.

3.2 Points Allocation

• Account registration and chatbot setup: 10 points (one-time).
• WhatsApp bot integration: 5 points.
• Website embedded widget integration: 5 points.
• Distinct knowledge base additions: 2 points per verified update.
• Genuine customer interactions: 1 point per interaction (minimum 15 required for qualification).

3.3 Only genuine, organic interactions count towards point totals. Fabricated, scripted, or self-directed bot prompts will be excluded from final totals.

04 Prize Pool Contingency and Discretion

4.1 Stated cash prizes represent target maximum awards and are contingent upon reaching the minimum qualifying participation threshold across active subscribers.

4.2 XEELAA's aggregate financial commitment shall not exceed the defined Challenge Budget.

4.3 If qualifying participation falls below the required threshold, XEELAA reserves the discretion to adjust prize values proportionately, substitute alternative platform credits, or extend the Challenge Period.

4.4 No participant acquires a vested or accrued entitlement to a prize (whether by reason of points accumulated, ranking, or time invested) unless and until XEELAA confirms in writing that all verification criteria are fulfilled.

05 Challenge Period

5.1 The Challenge opens on 22nd September 2026 and closes on 22nd October 2026, both dates inclusive.

5.2 Only activity verified by XEELAA infrastructure within this period will be credited toward ranking.

06 Determination of Winners

6.1 Point totals and verified depth of usage determine rankings at the conclusion of the Challenge Period.

6.2 Subject to Clause 4, target maximum prizes are:

• 1st Place: Up to ₦300,000 (Three Hundred Thousand Naira only).
• 2nd Place: Up to ₦200,000 (Two Hundred Thousand Naira only).
• 3rd Place: Up to ₦100,000 (One Hundred Thousand Naira only).

07 Verification and Auditing

XEELAA reserves the right to audit server logs, chat payloads, training data, and customer traffic prior to prize disbursement. Any attempt to artificially manipulate rankings through automated scripts will result in immediate disqualification.

08 Account and Domain Mandates

Custom domains and chatbot connections must remain active. Interaction records logged while a custom domain is disconnected or pointing to an invalid host will not be recognized.

09 Prize Disbursement and Taxes

Approved prize disbursements will occur within 30 days of the official winners announcement following final verification. Winners are solely responsible for personal tax filings and applicable statutory withholdings.

10 Amendments and Termination

XEELAA reserves the right to amend these guidelines or suspend the competition where required by regulatory requirements, technical necessity, or force majeure events.

11 Limitation of Liability

To the maximum extent permitted by law, XEELAA's aggregate liability in connection with the Challenge shall not exceed the value of the prize the Participant would have been entitled to receive under Clause 4, or subscription fees paid during the Challenge Period, whichever is lower.

12 Data Privacy

All participant records are processed strictly in accordance with our Privacy Policy and the Nigeria Data Protection Act 2023. Participants consent to public recognition of their startup upon winning.

13 Governing Law and Dispute Resolution

These Terms are governed by the laws of the Federal Republic of Nigeria. Unresolved disputes shall be submitted to arbitration in Abuja, FCT, under the Arbitration and Mediation Act 2023.

14 General Provisions

These rules constitute the complete competition agreement between XEELAA and each Participant, read alongside our general Terms of Service.
